Terms of Service

1. Agreement to Terms

By accessing or using services provided by Vaughn Labs LLC ("Company," "we," "us," or "our"), located at 240 Manor Ave, Beaumont, TX 77706, you agree to be bound by these Terms of Service. If you do not agree, please do not use our services.

2. Services

Vaughn Labs LLC provides website development, AI tools and employees, business automation, CRM and custom software builds, and related digital services for local businesses. The scope of work for each client is defined in individual service agreements or proposals.

3. Client Responsibilities

Clients are responsible for providing accurate information, timely feedback, and any content or materials required to complete the agreed-upon services. Delays caused by the client may affect project timelines and deliverables.

4. Payment Terms

Payment terms are outlined in individual service agreements. Recurring services are billed monthly unless otherwise specified. Late payments may result in suspension of services. All fees are non-refundable unless stated otherwise in writing.

5. Intellectual Property

Upon full payment, clients receive ownership of custom deliverables created specifically for them. Vaughn Labs LLC retains the right to use general tools, frameworks, and methodologies developed during the engagement. We reserve the right to showcase completed work in our portfolio unless otherwise agreed.

6. Limitation of Liability

To the maximum extent permitted by law, Vaughn Labs LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to the use of our services. Our total liability shall not exceed the amount paid by the client for the specific service in question.

7. Termination

Either party may terminate services with 30 days' written notice. Upon termination, the client is responsible for payment of all work completed up to the termination date. Any ongoing subscriptions or recurring services will cease at the end of the current billing period.

8. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts of Jefferson County, Texas.

9. Communications Consent

By providing your phone number and/or email address, you expressly consent to receive communications from Vaughn Labs, LLC, including but not limited to: marketing messages, promotional offers, service updates, appointment reminders, and transactional notifications. These communications may be delivered via SMS/MMS text messages, phone calls (including automated, pre-recorded, or AI-generated voice calls), and email. Message and data rates may apply. Message frequency varies based on your interaction with our services.

You may opt out of marketing communications at any time by replying STOP to any text message, by emailing us at jon@vaughnlabs.io or jon@tier5.us, or by contacting us directly. You may also reply HELP to any text message for assistance, or contact us at (409) 257-3784, jon@vaughnlabs.io, or jon@tier5.us. Opting out of marketing messages will not affect transactional communications related to your active services or account.

Consent to receive communications is not a condition of purchasing any goods or services, unless otherwise required for service delivery. By submitting your information through any of our forms, websites, or platforms, you acknowledge that you have read and agree to this communications policy.

10. SMS / Text Messaging Program Terms

Vaughn Labs LLC offers a customer care and support text messaging program. By opting in, you agree to these SMS Terms.

Program description. When you opt in, you will receive text messages that may include account management updates, order and purchase confirmations, responses to support requests, and answers to your inquiries.

How to opt in. You may opt in by (a) submitting your mobile number through a web form on our website and checking the box agreeing to receive text messages, (b) providing your mobile number during checkout or at time of purchase and agreeing to receive text messages, (c) texting a keyword to our number, or (d) providing your consent verbally or in person. By opting in, you confirm that you are the account holder or have authority to consent for the mobile number provided, and that you agree to receive recurring automated text messages from us at that number. Consent is not a condition of purchase.

Message frequency. Message frequency varies based on your interactions with us and the support you request.

Cost. Message and data rates may apply. Your mobile carrier's standard message and data charges will apply to each message sent or received. Vaughn Labs does not charge for the messages, but your carrier may.

Opt out. You can cancel the SMS service at any time by texting STOP to any message you receive from us. After you send STOP, we will send you a confirmation message and then stop sending you text messages. If you want to rejoin, simply opt in again as described above.

Carriers. Carriers are not liable for delayed or undelivered messages. Message delivery is subject to effective transmission by your mobile carrier and is not guaranteed.

Privacy. Your information is handled in accordance with our Privacy Policy. No mobile information (including phone numbers and SMS consent) will be shared with third parties or affiliates for their marketing or promotional purposes.

11. Changes to Terms

We reserve the right to update these Terms at any time. Changes will be posted on this page with an updated revision date. Continued use of our services after changes constitutes acceptance of the new Terms.
